Cosmenor AS (“Cosmenor”, “we”, “our”, “us”) is a Norwegian company that distributes professional cosmetics and skincare products from several brands, including Sothys Paris.


These Terms & Conditions (“Terms”) apply to all business-to-business (B2B) sales made by Cosmenor AS to registered professional customers within the beauty and skincare industry. By placing an order with us, the customer (“Buyer”, “you”) accepts these Terms in full.


Sales through our website and other ordering channels are intended solely for registered companies and professional actors such as clinics, salons, and certified skincare professionals.

Customer Requirements

  • Purchases may only be made by registered businesses with a valid organization number.

  • Certain products (e.g., chemical peels, professional treatment lines) may only be sold to customers with documented professional competence or certification.

  • The Buyer is responsible for providing accurate and up-to-date information during registration and ordering.

  • Cosmenor reserves the right to reject or suspend accounts that do not meet these requirements.

Prices and Payment

  • All prices are listed exclusive of VAT, unless otherwise stated.

  • Shipping costs and any applicable handling or small-order fees will be added to the invoice.

  • Payment terms are stated on the invoice (typically prepayment or invoice with 16 days payment, subject to credit approval).

  • Pre-payment on first order for new customers. 

  • In case of late payment, statutory interest on overdue payments will accrue in accordance with the Norwegian Interest on Overdue Payments Act (Forsinkelsesrenteloven).

  • The goods remain the property of Cosmenor AS until full payment has been received.

Orders and Order Confirmation

  • Orders may be placed via our website, email, or other authorized channels.

  • An order is considered binding once the Buyer receives an order confirmation from Cosmenor AS.

  • Cosmenor reserves the right to refuse, adjust, or cancel orders in the event of pricing errors, stock issues, or other unforeseen circumstances.

  • Orders may be cancelled or modified only if goods have not yet been shipped.

Sold-Out Items

We reserve the right for products to be sold out even if not marked as such on the website. Such corrections are made before dispatch and are not included in the invoice total. A backorder will be created to keep track of your pending items.

Delivery and Transfer of Risk

  • Unless otherwise agreed, goods are delivered according to Incoterms DAP (Delivered at Place) to the Buyer’s specified address.

  • Shipping costs and estimated delivery times will be provided prior to order confirmation.

  • The risk for the goods transfers to the Buyer upon delivery to the specified destination.

  • Upon receipt, the Buyer must inspect the goods for visible transport damage or missing items and report any issues immediately to the carrier and Cosmenor.

Complaints and Defects

  • Any claim for defects, shortages, or incorrect deliveries must be submitted within 7 days of receiving the goods.

  • Returns of defective products require prior approval from Cosmenor.

  • Complaints will not be accepted for:
    Improper storage or handling
    Use contrary to product instructions
    Products past expiry date

  • Approved claims will be replaced or credited at Cosmenor’s discretion.

Returns and Withdrawal Rights

There is no statutory right of withdrawal (angrerett) for B2B purchases.


However, Cosmenor may at its discretion accept returns of unopened and undamaged products within 14 days of delivery. Returns must be pre-approved in writing and sent to the return address above.


Please note:
For hygiene and safety reasons, cosmetic products with opened packaging cannot be returned unless the product is defective or supplied in error.

Product Responsibility and Use

  • Products supplied by Cosmenor AS are intended for professional use only.

  • The Buyer is responsible for ensuring correct and safe use, storage, and staff training in accordance with the manufacturer’s guidelines.

  • Products may not be resold to end consumers unless specifically authorized by Cosmenor.

  • Cosmenor assumes no liability for damages resulting from misuse, incorrect application, or non-compliance with usage instructions.

Intellectual Property Rights

All product images, descriptions, trademarks, and marketing materials are the property of Cosmenor AS or our suppliers.
Buyers may not copy, reproduce, or distribute any such materials without prior written consent.
Use of brand assets (logos, images, or marketing text) must comply with brand owner guidelines and may require approval.

Limitation of Liability

Cosmenor shall not be liable for any indirect losses, including loss of profit, business interruption, or consequential damages.
In cases where Cosmenor is found liable due to intentional or gross negligence, such liability is limited to the invoice value of the defective or delayed product.

Force Majeure

Cosmenor is not liable for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to:
strike, lockout, fire, natural disasters, pandemics, war, import restrictions, transport delays, or supply chain disruptions.

Data Protection and Privacy

Cosmenor processes personal and company data in accordance with applicable Norwegian and EU data protection laws (GDPR).
Please refer to our Privacy Policy for details on how we process and store customer information.

Governing Law and Dispute Resolution

These Terms are governed by Norwegian law.
Any disputes shall be resolved by negotiation in good faith.
If no settlement is reached, disputes shall be brought before the Oslo District Court (Oslo tingrett) as the exclusive legal venue.

Additional Industry-Specific Terms

  • Shelf life and storage: The Buyer is responsible for storing products according to manufacturer recommendations.

  • Product safety and training: Certain products may require certification or professional training; the Buyer must ensure compliance before use.

  • Marketing and representation: Buyers may not alter, misrepresent, or make unauthorized claims about products in marketing or client communication.
